I. WHO Needs an LLC
- Agents earning consistent commissions
- Real estate investors & flippers
- Property managers and leasing agents
II. WHAT an LLC Does
- Protects personal assets from business liabilities
- Establishes a formal business identity
- Opens tax optimization opportunities (S-Corp election, write-offs)
III. UNDERSTANDING ENTITY TYPES
🔹 Broker-Sponsored Entity
- TREC-registered entity sponsored by a broker
- Can receive real estate commissions directly
- Used for branding, liability protection, and tax separation
🔹 Business License Entity
- Registered LLC with the Secretary of State and IRS
- Can hold assets, investments, and other income streams
- Cannot receive real estate commissions unless sponsored
- Ideal for managing rentals, flips, or general business expenses
IV. SERIES LLCs
- Definition and Texas rules
- Ideal for investors or those with multiple rental properties
- Each “series” acts as a separate entity under one master LLC
- Warning: banking and insurance can get tricky—plan before you file
V. WHAT NOT TO DO
- Don’t assume your LLC exists until you have a Certificate of Formation
- Don’t transfer property with a mortgage into an LLC without checking for due-on-transfer clauses
- Don’t commingle funds
- Don’t skip trademarking your brand
- Don’t forget to file annual reports or renew state registration
- Don’t ignore your accountant—LLCs are not “set it and forget it”

- Draft an Operating Agreement—even for single-member LLCs
