About this Event
Join your ACC colleagues and Daniel Fitzgerld and Devin Harvin of Womble Bond Dickinson at Ampersea, at 1417 Thames Street in Fells Point, at noon on November 7th for great advice on M&A earnouts.
Daniel and Devin will discuss the recent increase in earnouts in M&A transactions as well as the likely reason for their increased use , considerations when structuring an earnout, and tips for how to avoid post-closing disputes!

PARKING: There may be on-street parking when you arrive (best deal). Otherwise, best deal on garages within a two block walk is the SP+garage at 805 S. CAROLINE ST. where you can park for up to three hours for $12. (Other local lots are $14 + for two hours.)
RESTAURANT LOCATION: Ampersea is located behind the Douglass-Myers Maritime Park building that is run by Living Classrooms. We will be meeting IN THE RESTAURANT.

We will be the only party in the restaurant space.
Masks are optional. If you are sick, please do not come.
We ask that all who attend be mindful of the different levels of comfort of every member and respect those who wish to wear a mask, keep their distance, avoid hugs, handshakes, fist or elbow bumps, etc.

At ACC-Baltimore sponsored events you must always treat others with respect and civility
This Code of Conduct applies to all ACC-Baltimore] sponsored events and any related events or social gatherings. Events sponsored by ACC will be governed by ACC’s Event Code of Conduct.
This Code of Conduct applies to anyone involved in an ACC-Baltimore sponsored event, including all ACC-Baltimore employees, staff and volunteers, ACC members, attendees, guests, speakers, volunteers, sponsors, exhibiters, vendors and venue staff. This policy is subject to change without notice.
Unacceptable Conduct Includes:
- Violence, threats of violence, unwanted touching, or physical intimidation
- Disruptive behavior or bullying
- Verbal or written harassment on any basis, including sexual harassment
- Displaying inappropriate visual information
- Possession of weapons or illegal substances
- Behavior that is illegal
- Violation of the rules of the event or venue
- Failure to follow safety instructions of ACC-Baltimore staff or board members
- Any behavior that ACC-Baltimore believes lacks respect or civility
Complaints
Contact local law enforcement or emergency services immediately if you notice a dangerous situation, threats of violence or someone in distress.
To report Unacceptable Conduct at an event, contact a member of ACC staff as soon as possible or file a complaint at using the ACC-Baltimore complaint form.
You may make Complaints anonymously. Whatever information you can provide, including identifying witnesses, will be helpful.
All reports will be kept as confidential as possible.
Consequences of Unacceptable Conduct
Unacceptable Conduct will not be tolerated. Anyone asked to stop unacceptable behavior is expected to comply at once.
Violations of this policy may result in:
- Removal from an event without refund or warning
- Banning from future ACC events
- Revoking ACC membership
- Referral to local law enforcement
Internal Action Steps
If a host/moderator/staff member witnesses or is alerted to any unacceptable behavior by a meeting participant, they will immediately reach out to members of the ACC-Baltimore Board (via email at [email protected]).
The ACC-Baltimore Board, or their designee, will review all allegations of violations of this Code of Conduct for Events and process according to its adopted procedures.
