2024 BBQ RIB COOKOFF CONTEST

OFFICIAL RULES

These terms and conditions are for the purpose of Dickey’s Barbecue Restaurants, Inc. (“Dickey’s”) 2024 BBQ Rib Cookoff Contest (the “Contest”). Upon the Entrant’s participation on a Team, these Official Rules shall be effectively accepted by the Entrant.

1. Eligibility: Dickey’s sponsorship of the Contest is open to all natural persons who are legal residents of the 50 United States, the District of Columbia, Puerto Rico, the US Virgin Islands, and all other United States’ territories and possessions (the “United States”) who are at least eighteen (18) years or older at time of Entry. The Contest is void outside the United States. The Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law. Employees of Dickey’s and their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers, their immediate family members, and/or those living in the same household of each are not eligible to participate in the Contest. By entering this Contest, each entrant (referred herein as “You”, “Your”, or “Entrant”) agrees to release and hold harmless Dickey’s and any Dickey’s subsidiary, parent, or affiliate from any injury, loss, damage, death, action, claim, demand or other liability that may occur from Entrant’s participation in this Contest or from the acceptance, use, or misuse of any Prize awarded, or attendance at any event.

2. Agreement to Rules: By participating, Entrant agrees to be fully and unconditionally bound by these Official Rules, and represents and warrants that Entrant meets the eligibility requirements set forth herein. In addition, Entrant agrees to accept the decision(s) of Dickey’s as final and binding as it relates to the Contest.

3. Contest Period, Location, and Schedule: The Contest Period begins on or about October 5, 2024 at 7:00 a.m. Central Standard Time (“CST”) and ends on or about Oct 5th, 2024 at 4:00 p.m. CST (the “Contest Period”). Entries that are submitted before or after the Contest Period will be disqualified.

The Contest will be held in the Dickey’s store parking lot located at 4610 N Central Expressway, Dallas, Texas 75206 (the “Location”). One (1) parking space will be assigned to each Team at the Location (the “Cooking Site”). Vehicles are not allowed to be parked at the Cooking Sites.

The Contest shall be approximately held according to the following schedule (the “Schedule”):

7:30 a.m. CST

Teams may begin setting up Cooking Sites at the Location. Meat inspections will begin as Teams complete setting up Cooking Sites.

9:00 a.m. CST

Teams meet with Dickey’s Corporate Chef

2:00 p.m. CST

Each Team must cease cooking and begin turning in its Entry

2:20 p.m. CST

Judging begins

3:30 p.m. CST

Prize presentation

4. Participation Guidelines: For a Team to submit one (1) valid Entry into the Contest (the “Entry”), each Entrant agrees to abide by the following participation guidelines (“Participation Guidelines”):

Each Entrant must be a member of a team that has designated a chief cook (the “Chief Cook”) and entered the Contest under a team name that has been approved by Dickey’s (the “Team”). Each Team may consist of a maximum of four (4) Entrants. The Chief Cook will be responsible for the conduct and behavior of all Entrants on the Team.

Each Team must store all meat at or below 45 degrees Fahrenheit. No seasoning or preparation can be done to the meat prior to Dickey’s Corporate Chef announcing that Teams may begin cooking.

Each Team will receive a colored tag that must be hung and visible at all times on the Cooking Site and one (1) box will be issued per Team to submit its Entry into the Contest (the “Contest Box”).

Each Team is to provide its own grill/cooker that will be used exclusively by that Team. Wood, charcoal, gas/ propane, and smoker-type barbeques are allowed. Teams and/or Entrants may not dig pits and fires are not permitted on the ground. Each Team is responsible to provide all of its own supplies, including pop-up tents, tables, chairs, utensils, ingredients, and supplies needed to practice responsible food handling practices. Electricity, ice, and water will not be provided.

Each Team must cook at least two (2) racks of pork ribs. Ribs must be cooked and seasoned on-site within the confines of the Team’s assigned Cooking Site. Ribs may be seasoned, sauced or otherwise flavored in a manner the Team feels will deliver a competitive product in the time allowed.

Each Entry must use at least one (1) Dickey’s retail product (“Product”) in their recipe. Products will be on site at the Contest. Quantity is 1st come 1st serve on varieties of Products. A Product list will be provided to each Team.

Each Team will place six (6) individually cut ribs in its Contest Box. No marking, bending tabs, or any identifying marks of any kind are permitted on or in the Contest Box or the Team and Entry will be disqualified. No marking or sculpting of the meat in the Contest Box will be tolerated. No garnish, side sauce containers, or any other foreign objects such as foil, toothpicks, or skewers are allowed in the Contest Box. Failure to comply with this rule will result in a Team and Entry’s immediate disqualification.

Each Team may submit the Contest only one (1) Entry time during the Contest Period. Each Team and/or Entrant may not submit more Entries than indicated by using multiple identities or names or by participating on more than one Team in an attempt to circumvent the rules.

Violation of any of these Participation Guidelines by a Team and/or an Entrant, except as specifically outlined above, may result in the Team and/or Entrant being disqualified.

5. Cleanliness and Safety Practices and Guidelines: It is Entrant’s responsibility to practice safe food handling and use common sense. All Teams and Entrants must abide by the following cleanliness and safe food handling practices and guidelines:

Cleanliness of the Chief Cook, Entrants, Cooking Site, and workspace is mandatory. Teams and Entrants must keep the Cooking Site clean and collect all trash and remove hot coals before leaving. No pets or small animals are allowed in the Cooking Site.

Entrants must wear a shirt and shoes at all times during the Contest. No use of tobacco products is permitted while handling food products. Loose hair must be pulled back or confined to a hat. Proper hand washing and the use of disposable food-safe gloves shall be used at all times when handling food products, raw or cooked. Entrants should change gloves often.

6. Prizes: Three winning Teams will be selected at the Contest and will receive either the 1st Place Prize, the 2nd Place Prize, or the 3rd Place Prize (each a “Prize”, and each winner of a Prize a “Winner”).

The Team with the highest overall score will be awarded a trophy and two (2) Dallas Cowboy Tickets (the “1st Place Prize”). Approximate retail value of the 1st Place Prize is One Thousand Five Hundred Dollars ($1500).

The Team with the second highest score will be awarded a trophy and a Pitmaster Basket full of cooking products and gear (the “2nd Place Prize”). Approximate retail value of the 2nd Place Prize is Five Hundred Dollars ($500).

The Team with the third highest score will be awarded a Whiskey Lovers Basket with bar accessories (the “3rd Place Prize”). Approximate retail value of the 3rd Place Prize is Two Hundred Fifty Dollars ($250).

Each Prize consists of only those items specifically listed as part of the prize. Any difference between stated approximate retail value and actual value of the Prize will not be awarded. Winner is solely responsible for any federal, state, and local taxes associated with acceptance and use of the Prize. No substitution or transfer of the Prize is permitted by Winner. Dickey’s reserves the right to substitute a prize of equal or greater value.

Acceptance of the Prize constitutes permission for Dickey’s to use Winners’ name, likeness, and Entry for purposes of advertising and trade without further compensation, unless prohibited by law. Dickey’s will not be responsible for any loss,

liability or damage arising out of the Winner’s acceptance, use or misuse or failure to use the Prize, or element thereof. Returned, undelivered, unclaimed, or unawarded prizes, or any element thereof will not be (re)awarded. Dickey’s shall have the right, where necessary, to undertake all action and/or require further information as is reasonable to protect itself, or any of the other promotion partners against fraudulent or invalid claims, potential public scandal, ridicule, or disrepute in awarding any prize to any winner.

7. Winner Selection and Judging Criteria: On September 14, 2024, Dickey’s will select Winners from all eligible Entries received during the Contest Period by judging the eligible Entries according to the Judge Criteria ( defined herein below). Odds of winning depend on the quality of the Entries received, as judged according to the Judging Criteria. Entries will be judged by a panel of three (3) judges selected by Dickey’s who will give each Entry a score from 5 (Excellent) to 1 (Bad) based on the appearance, tenderness, texture, and taste of the Entry (the “Judging Criteria”). A score of zero (0) will only be given if a Team and/or Entry is disqualified.

The Team with the highest overall score will be awarded the 1st Place Prize, the 2nd Place Prize will be awarded to the Team with the second highest score, and the 3rd Place Prize will be awarded to the Team with the third highest score. In the event of a tie, the winning Team will be picked by a random drawing among the tied Entries. The decision(s) of the judges and Dickey’s are final and binding as it relates to the Contest.

If a selected Winner cannot be contacted, is ineligible, or fails to claim the prize at the time at which the Winners are announced, the Prize may be forfeited and an alternate Winner may be selected. The receipt by Winner of the Prize offered in this Contest is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY THE WINNER (AT DICKEY’S SOLE DISCRETION) WILL RESULT IN THE WINNER'S DISQUALIFICATION AS WINNER OF THE CONTEST AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Rights Granted by Entrant: Upon submitting the Entry, the Entrant warrants and represents to Dickey’s that the Entrant has the right to enter into this Agreement and grant the rights granted in it. By entering this Contest, Entrant understands that Dickey’s Barbecue Restaurants, Inc., anyone acting on behalf of Dickey’s, or its respective licensees, successors, and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, including, without limitation, the Winner's name, portrait, picture, voice, likeness, image or statements about the Contest, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation. All federal and state laws apply.

9. Terms: Dickey’s reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Contest should (in Dickey’s sole discretion) a virus, bugs, non-authorized human intervention, fraud, or other causes beyond Dickey’s control corrupt or affect the administration, security, fairness, or proper conduct of the Contest. In such case, Dickey’s may select the Winner from all eligible Entries received prior to and/or after (if appropriate) the action taken by Dickey’s. Dickey’s reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the Entry process or the operation of the Contest or website or violates these Official Rules. Dickey’s has the right, in its sole discretion, to maintain the integrity of the Contest, and to void Entries for any reason. Any attempt by an Entrant to deliberately damage any web site or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws and should such an attempt be made, Dickey’s reserves the right to seek damages from any such person to the fullest extent permitted by law.

10. Limitation of Liability: By entering the Contest, Entrant agrees to release and hold harmless Dickey’s and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such Entrant's participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware, or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the Entry process or the promotion; and (v) electronic or human error which may occur in the administration of the promotion or the processing of Entries.

11. Governing Law: THIS CONTEST IS GOVERNED BY THE LAWS OF TEXAS, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES.

12. ARBITRATION: BY ENTERING THE CONTEST, ENTRANTS AND POTENTIAL WINNERS AGREE THAT EXCLUSIVE JURISDICTION FOR ANY AND ALL DISPUTES OF WHATSOEVER KIND OR NATURE ARISING OUT OF OR RELATED IN ANY WAY TO THE CONTEST, ALL PARTICIPATION THEREIN AND/OR THESE RULES, SHALL BE SUBMITTED TO BINDING FOR BINDING ARBITRATION IN PLANO, TEXAS, BEFORE ONE NEUTRAL ARBITRATOR TO BE MUTUALLY AGREED UPON BY BOTH PARTIES. THE PARTIES AGREE TO SHARE EQUALLY IN THE ARBITRATION COSTS INCURRED. TO THE EXTENT PERMITTED BY LAW, THE RIGHTS TO LITIGATE, SEEK INJUNCTIVE RELIEF, OR MAKE ANY OTHER RECOURSE TO JUDICIAL PROCEEDINGS IN CASE OF DISPUTES OR CLAIMS RESULTING FROM OR IN CONNECTION WITH THIS CONTEST ARE HEREBY EXCLUDED, AND ALL ENTRANTS EXPRESSLY WAIVE ANY AND ALL SUCH RIGHTS.

13. Notices and Contact Information: All notices under this Agreement shall be in writing and shall be deemed given (i) upon delivery if by hand delivery, (ii) upon delivery if made by electronic means, (iii) on the next business day if by reputable overnight courier, or (iv) upon the second business day following deposit into the United States Certified Mail system and properly addressed as follows:
